Terms of Service
These terms are between Cairn Labs LLC ("Provider") and the dojo that subscribes to MODU ("Customer"). Questions: cairnlabs.dev@gmail.com.
1. Service
Provider gives Customer access to MODU, a web-based dojo management service, at Customer's own web address under modu-app.com. Customer chooses the Basic or Full plan. Features in each plan are as described by Provider from time to time.
2. Fees
Customer pays $49 per month plus $0.50 per active student per month. An "active student" is a student whose status in MODU is Active on the last day of the previous month.
3. Billing
Billing is monthly through Stripe. Customer subscribes through a Stripe checkout link and pays by card (including Apple Pay and Google Pay). Each month Provider updates the student quantity on the subscription from the count of active students defined in Section 2, and Stripe charges the card on file automatically on the billing date and emails the receipt and invoice. Customer may update payment details and download invoices in the Stripe customer portal. If a payment fails, Stripe retries automatically and notifies Customer, and Customer will update the payment method. Taxes, if any, are Customer's responsibility. Stripe is used only for payments to Provider. Payments Customer receives from families through Customer's own Square account, and the fees on that account, are between Customer and Square.
4. Term and cancellation
The agreement runs month to month. Customer may cancel at any time; cancellation takes effect at the end of the billing month. Provider may end the agreement on 30 days' written notice. See also Refunds.
5. Data ownership
Customer owns its data, including student and family records, attendance, and payment records. Provider uses Customer's data only to provide and support the service. Provider will not sell Customer's data. See the Privacy Policy.
6. Privacy and security
Each customer's data is kept separate, with its own database, file storage, and web address. Office staff sign in through Cloudflare Access. Provider uses reasonable administrative and technical safeguards. Customer is responsible for choosing staff, assigning roles, and keeping its own sign-ins secure. Customer is responsible for having any consents needed from families, including for children's information. Provider will notify Customer of a confirmed data breach affecting Customer's data without unreasonable delay.
7. Acceptable use
Customer will use the service lawfully and only for running its own dojo. Customer will not share logins outside its organization, attempt to break into the service, or upload unlawful or harmful content.
8. Availability
Provider will use commercially reasonable efforts to keep the service available. The service may be unavailable for maintenance or because of causes outside Provider's control, including problems at Stripe, Square, Cloudflare, or internet providers. No uptime guarantee is made.
9. Limitation of liability
To the extent the law allows, Provider is not liable for indirect, incidental, or consequential damages, or lost profits. Provider's total liability for any claim is limited to the fees Customer paid in the 3 months before the claim. The service is provided "as is" except as stated in these terms.
10. Termination and data export
When the agreement ends, Provider will export Customer's data on request, in a common format, within 30 days. After that, Provider may delete Customer's data.
11. General
This is the whole agreement. Changes must be in writing. Provider may change fees on 30 days' written notice. If a part is unenforceable, the rest stays in effect.
